NOTICE OF TRANSFER OF BUSINESS

In pursuance of Sections 4 and 5 of the Transfer of Businesses (Protection of Creditors) Ordinance (Chapter 49 of the Laws of Hong Kong)

Notice is hereby given that (1) Seamless Solutions Limited, a company incorporated in Hong Kong with limited liability whose registered office is situate at Unit E, 14/F, Golden Sun Centre, 59–67 Bonham Strand West, Sheung Wan, Hong Kong; (2) Accretion Limited, a company incorporated in Hong Kong with limited liability whose registered office is situate at Unit E, 14/F, Golden Sun Centre,  59–67 Bonham Strand West, Sheung Wan, Hong Kong; (3) Houze Science and Technology (Zhongshan City) Co., Ltd. (厚澤科技 (中山市)有限公司), a company established in the People’s Republic of China with limited liability whose address is 中國中山市小欖鎮寶城路3號1幢1–3樓及2幢A區 (collectively the “Transferors”) carrying on, as part of their respective businesses, the business of trading of finished garments completed in wearable condition, (“Business”), have agreed to transfer and assign certain purchase orders (“Assets”) to Lever Style Limited (“Transferee”) of Room 76, Flat A, 7th Floor, Wing Tai Centre, 12 Hing Yip Street, Kwun Tong, Kowloon, Hong Kong.

Completion of the transfer has taken place on 12 October 2021 (“Completion Date”). The Transferee intends to carry on the part of the Business so far as it relates to such Assets (“Transferred Business”) at Room 76, Flat A, 7th Floor, Wing Tai Centre, 12 Hing Yip Street, Kwun Tong, Kowloon, Hong Kong under the name “Champion System”.

All debts, liabilities and outgoings in respect of the Transferred Business up to and including Completion Date shall be borne by the Transferors absolutely.

Notice is hereby given that at the expiration of one (1) month after the date of the last publication of this notice, the liability of the Transferee (if any) for all the debts and obligations arising out of the carrying on of the Business by the Transferor shall cease by virtue of the Transfer of Businesses (Protection of Creditors) Ordinance unless proceedings are instituted prior to such expiration.
