NOTICE OF TRANSFER OF BUSINESS

Pursuant to Sections 4 and 5 of the Transfer of Business (Protection of Creditors) Ordinance (Chapter 49 of the Laws of Hong Kong)

NOTICE is hereby given that as a result of a reorganization within the Group, Takako Nishizaki Violin Studio Limited (Company no. 21523), a company incorporated in  Hong Kong, whose registered office is situated at Level 11, Cyberport 1, 100 Cyberport Road, Hong Kong (the “Transferor”) carrying on business of provision of violin and other musical instruments lessons in Hong Kong  (the “Business”) at 16C Yee On Building,  25 East Point Road, Causeway Bay, Hong Kong (the “Premises”) under the same name has agreed to transfer the Business and the related assets together with all debts, liabilities and outgoings of the Business incurred or  accrued before the Completion Date of the Business to Takako Nishizaki Music Education Limited (Company no. 2917709), a company incorporated in Hong Kong, whose registered office is situated at Level 11, Cyberport 1,  100 Cyberport Road, Hong Kong (the “Transferee”).

The transfer of the Business will take place on 31 December 2021 (the “Completion Date”).

The Transferee intends to carry on the Business under its own name after the transfer of the Business at the Premises.

All debts, liabilities, and obligations of the Business incurred by the Transferor up to and including the Completion Date shall be borne by the Transferor. The Transferee shall not assume any of the debts, liabilities and obligations arising out of and in the carrying on of the Business by the Transferor prior to the Completion Date.

NOTICE is also hereby given that at the expiration of one (1) month after the date of the last publication of this Notice, the liabilities of the Transferee (if any) for all new claims or new proofs of debts and obligations arising out of the carrying on of the Business by the Transferor submitted after the above expiration shall cease by virtue of the Transfer of Business (Protection of Creditors) Ordinance unless proceedings are instituted prior to such expiration.
