Pursuant to Sections 4 and 5 of the Transfer of Businesses (Protection of Creditors) Ordinance (Chapter 49 of the laws of Hong Kong)

NOTICE is hereby given that A Plus International Services Limited, a private company limited by shares incorporated in Hong Kong with Companies Registry number 1559639 and having its registered office  address at Flat 4, 17 Floor, Westlands Centre, 20 Westlands Road, Quarry Bay, Hong Kong (the “Transferor”), carrying on the business of designing, distributing and managing medical insurance plans for individuals or organisations under the business name A+ International Healthcare (the “Business”) at Flat 4, 17 Floor, Westlands Centre, 20 Westlands Road, Quarry Bay, Hong Kong has agreed to transfer assets and goodwill in relation to the Business to April Hong Kong Limited, a private company limited by shares incorporated in Hong Kong with Companies Registry number 594488 and having its registered office at 9th Floor, Chinachem Hollywood Centre, 1–13 Hollywood Road, Central, Hong Kong (the “Transferee”).

Subject to the fulfilment of all relevant conditions precedent, completion of the transfer is intended to take place on 31 March 2022, or such other date as the Transferor and the Transferee may agree (the “Transfer Date”).

With effect from the Transfer Date, the Transferee intends to carry on the Business  at 9th Floor, Chinachem Hollywood Centre, 1–13 Hollywood Road, Central, Hong Kong under the business name “April”.

Notice is hereby given that at the expiration of one (1) month after the date of the last publication of this notice, the liability of the Transferee (if any) for all the debts and obligations arising out of the carrying on of the Business by the Transferor shall cease by virtue of the Transfer of Businesses (Protection of Creditors) Ordinance (Chapter 49 of the laws of Hong Kong) unless proceedings are instituted prior to such expiration.

茲 通 告：A Plus International Services Limited，一家於香港註冊成立的私人股份有限公司及公司註冊編號為 1559639，其註冊地址為香港鰂魚涌華蘭路 20 號華蘭中心 17 樓 4 室 (「轉讓人」)，於香港鰂魚涌華蘭路 20 號華蘭中 心 17 樓 4 室 以 A+ International Healthcare的名義經營有關為個人或組織設計、分發和管理醫療保險計劃的業務 (「業務」)，已同意轉讓 該 業 務 有 關 的 資 產 及 商 譽 予 April Hong Kong Limited，一家於香港註冊成立的私人股份有限公司及公司註冊編號為 594488，其註冊地址為香港中環荷李活道 1–13 號華懋荷李活中心 9 樓 (「承讓人」)。

在滿足所有相關先決條件的前提下，轉讓將於 2022 年 3 月 31 日，或轉讓人及承讓人同意的其他日期 (“轉讓日期”)，完成。自轉讓日期起，承讓人有意於香港中環荷李 活道 1–13 號華懋荷李活中心 9 樓以 April 的名義經營該業務。

茲通告根據香港法例第 49 章業務轉讓 ( 債權人保障 ) 條例，於本通告最後一次刊登後的 1 個月屆滿時，承讓人就轉讓人因經營該業務時所產生之債項和義務所承擔的責任 ( 如有 ) 須告終止，於通告期限屆滿前展開的法律程序除外。
