Pursuant to Sections 4 and 5 of the Transfer of Businesses (Protection of Creditors) Ordinance (Chapter 49 of the Laws of Hong Kong)

NOTICE IS HEREBY GIVEN that LAKLER S.A., a company incorporated under the laws of Uruguay whose registered office is at Solis 1531, Apto 1, Montevideo CP 11000, Uruguay (the “Transferor”), carrying on a business in relation to FSRU vessel time charter and service for floating and regasification terminal in Hong Kong (the “Business”) under the name or style of “LAKLER S.A.” in Units B–D, 11/F, KC100, 100 Kwai Cheong Road, Kwai Chung, New Territories, Hong Kong, has agreed to transfer the Business to MOL FSRU Terminal (Hong Kong) Limited, a company incorporated under the laws of Hong Kong whose registered office is at Units B–D, 11/F, KC100, 100 Kwai Cheong Road, Kwai Chung, New Territories, Hong Kong (the “Transferee”).

Completion of the transfer of the Business will take place on or about 20 February 2022.

The Transferee intends to carry on the Business under the name or style of “MOL FSRU Terminal (Hong Kong) Limited” at Units B–D, 11/F, KC100, 100 Kwai Cheong Road, Kwai Chung, New Territories, Hong Kong, in southern Hong Kong territorial waters to the east of the Soko Islands and/or at such other place as the Transferee may determine.

Notice is hereby given that at the expiration of 1 month after the date of the last publication of this notice, the liability of the Transferee for all the debts and obligations arising out of the carrying on of the Business by the Transferor shall cease by virtue of the Transfer of Businesses (Protection of Creditors) Ordinance unless proceedings are instituted prior to such expiration.
