NOTICE OF TRANSFER OF BUSINESS

In pursuance of Sections 4 and 5 of the Transfer of Businesses (Protection of Creditors) Ordinance (Chapter 49 of the laws of Hong Kong)

NOTICE IS HEREBY GIVEN that WILLIS HONG KONG LIMITED 韋萊香港有限公司 (the “Transferor”) a company incorporated with limited liability under the laws of Hong Kong with company no. 0053726, whose registered office is situated at 17th Floor, Lee Garden Three, 1 Sunning Road, Causeway Bay, Hong Kong, carrying on a business in providing insurance brokerage services under the name Willis Hong Kong Limited at 16th and 17th floors and Unit 1802, Lee Garden Three,  1 Sunning Road, Causeway Bay, Hong Kong, intends  to sell and transfer part of its business, namely its reinsurance brokerage business (the “Business”), to GALLAGHER INSURANCE BROKERS (HONG KONG) LIMITED (the “Transferee”), a company incorporated with limited liability under the laws of Hong Kong with company no. 3094582, whose registered office is situated at Room 1901, 19/F, Lee Garden One, 33 Hysan Avenue, Causeway Bay, Hong Kong.

Subject to securing all necessary regulatory approvals, the transfer is intended to take place on 1 March, 2022 or such later date as the Transferor and the Transferee may agree (the “Transfer Date”).

The Transferee intends to carry on the Business at Room 1901, 19/F, Lee Garden One, 33 Hysan Avenue, Causeway Bay, Hong Kong or such other address as the Transferee may decide under the name GALLAGHER INSURANCE BROKERS (HONG KONG) LIMITED after the Transfer Date.

All debts, liabilities and obligations arising out of the carrying on of the Business by the Transferor on or before the Transfer Date shall be borne by the Transferor solely and absolutely.

NOTICE is hereby given that at the expiration of one (1) month after the date of the last publication of this notice, the liability of the Transferee for all the debts and obligations arising out of the carrying on of the Business by the Transferor shall cease by virtue of the Transfer of Businesses (Protection of Creditors) Ordinance (Chapter 49 of the laws of Hong Kong) unless proceedings are instituted prior to such expiration.
